What is a registered agent?
Every LLC must name a registered agent — the official contact who receives legal papers and state notices on the business’s behalf.
What a registered agent does
- Accepts “service of process” if your LLC is sued
- Receives official mail from the Secretary of State, such as annual report notices
- Forwards those documents to you promptly so you don’t miss deadlines
Requirements
The agent must have a physical street address in the state where the LLC is registered (no P.O. boxes) and be available there during normal business hours. The agent’s name and address become part of the public record.
Your options
Be your own agent
Free, but your address is public and you must be reachable at it during business hours. Being served at work or home can be awkward.
Use a friend or family member
Free, but you rely on them to stay available and forward documents. If they move, you must update the state.
Hire a registered agent service
Typically an annual fee. Keeps your home address off the public record, and many services scan mail and send compliance reminders.
If you form your LLC in a state where you don’t live or have an office, you’ll need a registered agent service or someone located in that state.
